1. Parties
    These Terms & Conditions (“Terms”) govern your use of this website and your purchase of goods from KottonSense LLC (“we”, “us”, “our”, “KottonSense”). By accessing or using the website www.kottonsense.com (“Site”) and by placing an order, you agree to these Terms. If you do not agree, do not use the Site or place an order.
  2. Eligibility & User Representations
    You represent and warrant that you are at least [18] years of age (or the age of majority in your jurisdiction) and have full legal capacity to enter into and form binding contracts. You may not order items for resale without our prior written consent. You agree to provide complete and accurate information when placing an order.
  3. Products, Pricing & Availability
    We aim to display accurate product information, but we do not warrant that product descriptions, pricing, availability or other content is error-free. We reserve the right to correct any errors, to cancel orders due to pricing or description inaccuracies, and to refuse or limit any order. (See also Shipping & Returns Policy below.)
    All prices are in [US Dollars] unless otherwise stated. We are not responsible for duties, taxes, or charges beyond those shown at checkout unless explicitly stated.
  4. Ordering & Payment
    When you place an order, we will confirm by email. At that point a contract is formed subject to these Terms and any applicable policy. Payment is due at time of purchase; we accept only payment methods displayed at checkout. We may refuse or cancel orders at our discretion (for example: fraud risk, suspicious order, stock issues).
    You are responsible for ensuring the payment information you provide is valid and up-to-date. If payment fails, we may rescind your order.
  5. Shipping & Risk of Loss
    Title and risk of loss of goods pass to you when the goods are delivered to the shipping carrier. We undertake delivery in accord with our Shipping Policy (see section below) but cannot guarantee transit times.
    You must inspect items upon receipt and report any defects or damage as described in the Return/Refund Policy.
  6. Returns, Refunds, Exchanges
    Our policies for returns, refunds and exchanges are set out in our Refund/Return Policy (see section below). By placing an order you agree to be bound by that policy.
  7. User Conduct & Prohibited Uses
    You agree not to:
  • use the Site for any unlawful purpose or in violation of these Terms;
  • use the Site to transmit any harmful code, spam, or unsolicited communications;
  • reproduce, duplicate, copy, sell, resell or exploit any part of the Site without our express written permission;
  • interfere with or attempt to interfere with the proper functioning of the Site;
  • harass, defame, abuse or threaten other users or KottonSense representatives.

We reserve the right to terminate or suspend access to the Site and refuse or cancel orders if you breach these Terms or engage in suspicious behaviour.

    All content on the Site (text, graphics, logos, images, designs, software) is our property or licensed to us, and protected under applicable copyright, trademark and other proprietary laws. You may not copy, reproduce, distribute, publicly display, modify or create derivative works without our prior written consent.
  2. Disclaimers & Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
    IN NO EVENT WILL KOTTONSENSE LLC OR OUR AFFILIATES, OFFICERS, DIRECTORS OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION) ARISING IN ANY WAY OUT OF THE USE OF OR INABILITY TO USE THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    Our aggregate liability to you for any claim arising out of or relating to these Terms or the Site will not exceed the amount you actually paid to us in the 12 months preceding the claim.

  4. Governing Law & Dispute Resolution
    These Terms shall be governed by and construed in accordance with the laws of the State of California (or your state). You and we both consent to the exclusive jurisdiction of the state and federal courts located in [San Diego County, California] to resolve any dispute.
    Alternate (optional): You and we agree that any dispute will be resolved by binding arbitration administered by [AAA/other] under its rules, and you waive any right to class-action or jury trial.
